About this Opportunity
Position Objective
- The Board of Directors of One Sky, in active collaboration and partnership with the Executive Director (CEO), shall frame the issues and think creatively of opportunities and challenges to be met for One Sky to be an exemplary Area Agency.
- Members of The Board of Directors must be in good standing within community and pledge to support the mission and goals of One Sky.
Responsibilities
General
- The legal duties and responsibilities of the Board Members are generally outlined in the One Sky Bylaws and NH Attorney Generals Guidebook for New Hampshire Charitable Nonprofit Organizations, (2005). Each Board Member should be conversant, and compliant, with the Guidebook and its contents.
- Board Members have an overall macro responsibility to the well being of the organization and are aware that the day to day responsibility rests with the Executive Director and support the Executive Director and the Senior Management team in their day to day implementation of One Skys mission.
- Obligation to complete training session and orientation before first Board Meeting.
- Will not allow for political or religious beliefs to overshadow the well being of the organizations mission.
Governance
- Adopt, and regularly review, One Skys Mission and Vision statements, and review managements performance in achieving them.
- Adopt, and regularly review, One Skys Statement of Ethics and Values, and monitor the organizations performance in accordance with those principles.
- Adopt, and regularly review, Board written policies reflecting the Mission and Values of the organization, within which the Executive Director is authorized to manage the organization and to develop and implement operational plans to carry out the Mission.
- Regularly review Board written policies (at least every 4 years) and adopt new policies when legal requirements or regulations change
- Regularly assess the environment for Individuals with Developmental Disabilities and Acquired Brain Disorders, and develop, in partnership with the Executive Director, strategies to be responsive.
- Hire, monitor, appraise, advise, stimulate, support, reward, and, if deemed necessary or desirable, replace the Executive Director.
- Meet as a Board no fewer than ten times a year. Focus on challenges facing the organization and apply the knowledge and experience of individual Board members to the major challenges facing the organization.
- Establish Committee structure; adopt, and regularly review, Committee Charters.
- Annually complete the Executive Committees performance review of the Executive Director, and establish compensation based on recommendations of the Executive Committee.
- Board Members shall not benefit financially from their position on the Board.
- Ensure that the organizational strength can sustain the Mission and achieve long-range goals.
- Propose prospective board members and fill vacancies as needed. Ensure adequate orientation of new members. Ensure adoption and adequacy of Board leadership succession plan.
- Periodically conduct self-review of Board performance (including its composition, organization, and responsibilities) and take steps to improve its performance.
- Ensure that One Sky has established appropriate policies to define and identify conflicts of interest throughout the organization and is diligent in its administration and enforcement of those policies.
- Review compliance with relevant material laws affecting One Sky and its programs and operations.
- Recruit new Board Members based on skill set and proficiency and Board matrix need.
Finance and Administration
- Ensure that One Skys financial structure and funding plans will adequately support its current needs and long-range strategy.
- Ensure that the Board is carrying out its fiduciary responsibilities, such as reviews of periodic and annual financial statements, funding plans, budgets, and financial goals.
- Work with the Executive Director to secure adequate resources to implement One Skys strategic planning and budget decisions
- Review results achieved by management compared with One Skys Mission, Strategic Plan, and annual and long-range goals. Compare performance to that of other statewide nonprofit associations.
- Work with management to evaluate One Skys financial capacities and the resources needed to provide services
- Approve major actions such as capital expenditures on all projects over authorized limits and major changes in programs and services.
- Appoint independent auditors, review audit reports, and review management letters with the Executive Director.
- Ensure that adequate risk management policies are established and implemented.
- Oversee fundraising activities, establish fundraising targets and goals that flow from the strategic plan
Duties of Owed
- Be loyal to One Sky, always exercising Board powers in the best interest of One Sky, and not for the interest of yourself or others.
- Be informed about One Skys Mission and Vision, Strategic and Operating plans, policies, and programs. Work with the rest of the Board to review, approve and oversee One Skys Mission, and review performance in achieving it. Be an avid proponent of the Mission, and inform others about One Sky, its Mission, Vision, and programs.
- Ensure legal and ethical integrity, and maintain accountability and transparency to members, funders, donors, other constituents, and the general public.
- Prepare for, attend, and participate actively in Board and Committee meetings, and special events. Serve on Committees and undertake special assignments willingly and enthusiastically when asked. Provide candid and constructive advice, comments, and criticism. Pro-actively participates at Board and Committee meetings consistent with conscience and conviction, while supporting the majority decision on issues decided by the Board.
- Be familiar with and follow conflict-of-interest policies and submit an annual Conflict of Interest Report.
- Participate in the approval of policies focusing on mission, finances, and income. Ensure that programs are consistent with the Mission.
- Suggest possible nominees for election to the Board, who can make significant contributions to the work of the Board and the organization.
- Keep up to date on developments in and affecting people with Developmental Disabilities and Acquired Brain Disorders.
- Avoid involvement in all political campaigns in the name of One Sky, unless directed by the Board or Executive Director to question or present an advocacy issue on behalf of the organization to a potential candidate.
- Maintain confidentiality of the Boards and One Skys actions.
Qualifications
- Be an advocate for persons intellectual and developmental challenges
- Demonstrated effective judgment, problem solving, negotiation/arbitration and delegation experience.
- Ability and willingness to participate in all Board meetings.
- Willingness to further One Skys mission throughout the community.
- Willingness to join or be assigned to a committee.
- Ability to consistently meet all necessary background and credentialing requirements.
